Welcome to Nonna Amorini’s Italian Food Club (the “Club”).
These Terms and Conditions (“Terms”) govern your membership in the Club, access to discounted pricing on authentic Italian food products, participation in the referral program, and use of our website.

By joining the Club, purchasing products, or using our website, you agree to be bound by these Terms.
If you do not agree, please do not join or use our services.

Nonna Amorini’s Italian Food Club is operated by KokuaVida Inc. (“we,” “us,” or “our”).
We reserve the right to update these Terms at any time. Continued use of the Club after updates constitutes acceptance of the revised Terms. We will notify members of any material changes by email or on the Website.

1. Eligibility

To become a member of the Club, you must:

Be at least 18 years old (or the age of majority in your jurisdiction).
Be a legal resident of the United States (we currently do not ship internationally or to P.O. Boxes).
Provide accurate and complete information during registration.
Not have been previously suspended or removed from the Club.

By joining, you represent and warrant that you meet these requirements and are legally capable of entering into binding agreements.

2. Membership and Fees

Membership in the Club is annual and requires payment of a non-refundable fee of $29.95 (the “Membership Fee”).
This fee grants access to exclusive pricing on our Italian Feast Packs and other products, such as our standard member pack for $54.95 (plus shipping and applicable taxes).

Billing and Renewal

The Membership Fee is billed annually upon signup and automatically renews each year on your anniversary date unless canceled.
You authorize us to charge your chosen payment method for renewal and applicable taxes.
Any change in Membership Fee will be communicated at least 30 days in advance by email.

Payment Information

You must maintain a valid payment method (e.g., credit card).
If a payment fails, we may suspend your membership until resolved and may charge fees for declined payments.

Taxes

All fees are exclusive of applicable taxes, which you agree to pay as required by law.

3. Purchases and Deliveries

Discounted Pricing

Member prices are listed in U.S. dollars and may change with notice.

Orders

All orders are subject to product availability.
We may substitute items of equal or greater value if supply issues arise.

Shipping & Handling

Orders are shipped via trusted third-party carriers.
Shipping costs are calculated at checkout.
Delivery times are estimates only; we are not responsible for delays beyond our control.
Inspect deliveries upon receipt and report any issues (damaged, missing, or defective items) within 48 hours via [email protected].
Due to the perishable nature of food products, returns are not accepted except for defective items, which may be replaced or refunded at our discretion.

Product Use

You are responsible for proper storage and preparation of all food items.
We disclaim liability for misuse or allergic reactions—please review ingredient lists carefully.

4. Referral Program

We appreciate when you share Nonna Amorini with others!

How It Works

For every three (3) friends who join the Club using your unique referral code and pay their Membership Fee, you earn one (1) free Italian Feast Pack.
You only pay for shipping on the free pack.
Referrals must be new members (no self-referrals).
Free packs are limited to one per qualifying referral set and cannot be combined with other promotions.

We reserve the right to verify referrals, disqualify fraudulent activity, and modify or end the program at any time.

5. Cancellations and Refunds

Membership Cancellation

You may cancel at any time by emailing [email protected] or via your account dashboard.
Cancellations take effect at the end of the current term—no prorated refunds are issued.

Refunds

The Membership Fee is non-refundable except as required by law.
Refunds for product purchases may be considered for defective or undelivered items within 7 days of delivery, subject to review.

Automatic Renewal Cancellation

To avoid renewal charges, cancel at least 5 days before your renewal date.

Account Termination

We may suspend or terminate memberships at any time for violation of these Terms, non-payment, or misuse—without refund.

6. Intellectual Property

All content—including recipes, images, logos, text, and packaging—is the exclusive property of KokuaVida Inc. or its licensors.
You are granted a limited, non-exclusive license to access and use this content for personal, non-commercial purposes.
You may not reproduce, distribute, or modify any materials without written permission.

7. User Conduct

Members agree not to:

Use the Club or Website for unlawful purposes;
Misrepresent identity or engage in fraudulent behavior;
Interfere with the operation or enjoyment of the Website by others;
Resell or commercially exploit Club products or benefits without authorization.

We reserve the right to monitor member activity and cooperate with law enforcement when necessary.

8. Indemnification

You agree to indemnify and hold harmless KokuaVida Inc., its affiliates, officers, and employees from any losses, damages, or claims resulting from:

Your breach of these Terms,
Misuse of Club benefits or the Website, or
Violation of any third-party rights.

9. Disclaimer of Warranties

The Club, Website, and all products are provided “as is” and without warranty of any kind, express or implied.
We do not guarantee uninterrupted service, error-free functionality, or specific product outcomes.

10. Limitation of Liability

To the fullest extent permitted by law, KokuaVida Inc. is not liable for indirect, incidental, or consequential damages arising from your use of the Club, Website, or products.
Our total liability shall not exceed the amount paid by you in the preceding 12 months.

11. Dispute Resolution

Any dispute or claim shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Florida, USA.
You waive the right to participate in class actions.
Claims must be filed within one year of the incident.
These Terms are governed by the laws of Florida, without regard to conflict-of-law principles.

12. Miscellaneous

Entire Agreement: These Terms represent the complete agreement between you and us.
Severability: If any provision is found invalid, the remainder shall remain enforceable.
No Waiver: Our failure to enforce any right does not constitute a waiver.
Assignment: We may assign our rights; you may not without consent.
Force Majeure: We are not liable for delays caused by events beyond our control (e.g., natural disasters, supply chain disruptions).
